Decisions of the Extraordinary General Assembly of Shareholders on 14.01.2015
The Extraordinary General Assembly of the Shareholders held on 14.01.2015 has decided upon the only issue of the agenda by quorum of 72,70% (i.e. 5.521.505 shares out of a total of 7.595.160) and by 100% majority (i.e. 5.521.505 shares out of an equal number of attending shares) and approved the grant of special permission for the signing of preliminary agreement for the purchase of property from the company “Mediterranean Villages S.A.” according to article 23a par. 2 of the Codified Law 2190/1920. The Company’s Management considers that it is more profitable in the present circumstances the purchase of land as an investment, owned by the subsidiary company “Mediterranean Villages S.A.” and situated in Sikino of Cyclades at “Tria Pigadia” with total area of 198.617 m2, which is consisted of three land areas outside the approved limits of plan of settlement “Allopronia” in Sikinos and the landed region of the Community of Sikinos in Cyclades (complete and buildable by the current provisions of general building regulation and with area of 66.407,00 m², 119.060,00 m² and 13.150,00 m² respectively). The total value of the aforementioned land has been estimated to the amount of € 1.297.440 by the civil engineer Mr. Achilleas Tsompanos and the mechanical engineer Mr. Efstathios Mpaltsas. It is noted that it is not necessary the valuation of the above property by the committee of article 9 of the Codified Law 2190/1920, given that the above purchase is not subject to the scope of article 10 of the Codified Law 2190/1920. The signing of the final contract has been set at the latest by 31.12.2016 on the condition of raising of existing prenotation of mortgage over the above properties. Following the above suggestion, the extraordinary general assembly of the shareholders approved the signing of preliminary agreement with the company “Mediterranean Villages S.A.” for the purchase of the aforementioned properties with value of € 1.297.440, which is expected to be signed within one month from the extraordinary general assembly of the shareholders.
